Terms & Conditions
Terms and conditions of business under which this quotation is submitted and any subsequent order accepted.
The acceptance of this Quotation shall include the Terms and condition hereinafter specified. Any variation of the said Terms and Conditions shall only be valid if expressly accepted by Inter County in writing.
1 PRICE AND PAYMENT
(a) The Company shall invoice the Customer monthly. Accounts will be rendered and are due and payable within 30 days of the date of the invoice. If payment is not made within these terms the Company reserves the right to discontinue work. (b) All prices are quoted on the basis that the Contract is to run continuously. The charge will be calculated as follows: - Weekly invoice value x 52 weeks, divided by 12 months, plus or minus adjustments. The weekly invoice amount has been calculated to allow for closing for 8 Bank Holidays through each year. (c) The costing relating to the quotation are based on wage rates, cost of materials and applicable overheads at the date of the quotation. The quoted price, when converted into an order will, where possible, remain firm for a year subject to there being no required modification or alterations to work done as requested by the customer. In this event Inter County shall be entitled to review and, if necessary increase the charge accordingly. After one year the Contract value will be reviewed. (d) Working Time Regulations 1998. In accordance with the Working Time Directive holiday pay has been allowed for.
2 OBLIGATION OF CUSTOMER
The Customer shall (a) Pay the Contractual price and any other sums due in accordance with Terms of Payment mentioned above; (b) Ensure that the premises comply with all Governmental Health and Safety requirements from time to time in force; (c) Not knowingly employ any person who during the terms of this agreement has been an Inter County employee, for a period of six months following termination of Inter County’s services; (d) Provide, free of charge, all lighting, heating, hot water and any facilities which may reasonably be required by Inter County; (e) Indemnify Inter County in respect of any injury, death or damage to property suffered by an Inter County employee, servant or agent incurred upon the Customers premises and which is attributable to the Customers negligence or default; (f) Communicate any special instructions or complaint regarding Inter County’s performance under contract by notice in writing within 48 hours of complaint arising; (g) Will make provision to enable Inter County to keep equipment and materials on site in a safe location and will take reasonable precautions against removal by unauthorised persons.
3 OBLIGATION OF INTER COUNTY
Inter County shall; (a) Keep in force policies of insurance covering Employers Liability (indemnity unlimited) Public Liability (indemnity up to a maximum claim not exceeding £2,000,000); (b) Upon receipt of any notice in 2F take all necessary action, without cost to Customer to investigate and rectify the complaint; (c) Carry out the work to the reasonable satisfaction of the Customer and shall provide all necessary staff and materials for this purpose, but shall not be responsible for the removal of oil, paint, varnishes or other similar substances unless otherwise agreed in writing. (d) In the event of the loss of a key entrusted to Inter County, be responsible only for cost of replacement of the key and not for any other consequential costs, which should be covered under customers own insurance.
4 TERMINATIONS
Subject to paragraphs 1A of the above terms, the Contract is to run continuously unless and until Terminated by not less than 3 months notice given by either party to the other, post the first anniversary date of commencement. If the customer terminates the Contract without proper notice the Customer shall be liable to compensate Inter County in lieu of such notice.
5 FORCE MAJEURE
(a) If Inter County is prevented by the customer, its servants or agents from carrying out its duties it shall be payable; (b) A failure by Inter County to perform its obligations under this Contract by reason of fire, explosion, accident, industrial dispute or any other cause outside the Company’s control will not constitute a breach of this Contract.
It should be noted that Inter County accept no obligations in connection with operation by their employees of any alarms or security devices at the customers’ premises. The operation of such equipment by Inter County will accept no liability for incorrect operation of such equipment, which operation will at all times be at the customers’ risk.
6 RISK ASSESSMENTS
Inter County’s Health and Safety Officer will make an inspection of areas to be cleaned to assess any risks (to cleaners and other persons) which may occur during the cleaning process. The inspection will be carried out either prior to commencement of contract or as soon after as is practically possible. The survey report will be submitted to the customer, stating remedial actions required. The assessment will be carried out annually, or if there is any significant change in the working conditions or procedures, then a review will be carried out accordingly.
